Constitution“Passion for Paws”April 2025

Objectives:
a). To represent and support the work of members of “Passion for Paws”
who act on a voluntary basis to care and re-home unwanted, abandoned,
stray, and ill- treated animals in our area.
b). To promote a responsible attitude by members of the public towards the
ownership and welfare of animals.
c). To promote a sterilization campaign for our local pet-owning
communities, within the defined areas, and to those of a lower income
household. Additionally, to actively encourage local councils to be more
proactive in promoting the benefits of sterilization in their communities.
d). To provide the pet-owning communities to help and support in accessing
affordable veterinary services where possible.
e). To raise awareness amongst the pet-owning communities of the
benefits of microchipping their pets for identification purposes and the
importance of updating these details.
f). To re-home abused, neglected or abandoned animals from our
communities into safe, loving homes.
g). To rehabilitate traumatized pets and provide safe loving foster
environments in which they can continue to develop and progress with a
future view to permanent adoption.
h). To maintain campaigns via the creation of “Passion for Paws” web page,
the media, internet, information leaflets, advertisements, etc to promote
“Passion for Paws” mission.

i). To promote the work of and assist other voluntary sector animal rescue
groups and individuals in their campaigns and rehoming intentions.
j). To circulate regular updates to members on “Passion for Paws” activities
and to organize gatherings to encourage a better understanding of current
issues and ongoing situations.
Powers:
“Passion for Paws” has the power to
a). Raise funds, receive grants and donations
b). Apply for funds to carry out the work of the ‘nonprofit’ organization
c). Co-operate with and support other groups/charities with similar
purposes
d). Network and build relationships with the private/public sector
e). Promote the association with a positive and professional image
f). Organize courses and events
g). Acquire and manage buildings and properties
h). Do anything that is lawful which will help to fulfill our goals
Management:
a). A Committee of directors and volunteer board members shall administer
the “Passion for Paws” organization.
b). The Directors of the Committee shall be the Chairperson, Vice Chair,
Secretary, Treasurer, Fundraising Coordinator/s, Scheduling Coordinator/s,
Foster Home coordinator/s, Social Media Coordinator/s, Transportation
Coordinator/s and Finance Committee.
c). The Committee shall meet at least 3 times a year.
d). The Chairperson or Vice Chair shall lead all meetings of “Passion for
Paws”.
e). Quorum - minimum number of people required to be present, allowing
the meeting to proceed is “7” - motions are passed with 50% plus one of
those in attendance voting in favour (if “7” people in attendance “4” votes
for/against would decide the outcome of the motion). Voting at Committee
meetings shall be by a show of hands. If there is a tied vote, then the
Chairperson shall have a second deciding vote.
f). The Committee may, by a two-thirds majority vote, and for a good and
proper reason, remove any Committee member, said person has the right
to be heard before a final decision is made by the committee.
Duties of the Officers:
a). The duties of the Chairperson are to:

 chair all meetings
 represent “Passion for Paws” at all functions/meetings that they have
been invited to
 act as spokesperson for the Group when necessary
 deal with all correspondence
 plan rescue intakes with owner surrenders - ALL INTAKES are to be
approved by the Chair prior to being accepted
 find suitable homes for dogs (plan dog adoption events)
 oversees all actions made on behalf of the committee and rescue
 maintain STATS of all animals brought into the shelter including any
incidents (ie bites), vaccines, photo’s, foster and adoption families

b). The duties of the Vice Chair are to:
 chair meetings in the absence of the Chairperson
 assist the Chairperson as needed
 act as spokesperson for the Group when the Chairperson is not
available
 serve as Chairperson when a motion involving the Chairperson is
being discussed
 assist Chairperson to plan rescue intakes with owner surrenders as
needed
 assist Chairperson to find suitable homes for adoptive dogs as
needed
c). The duties of the Secretary are to:
 take and keep minutes of all meetings
 prepare the agenda for meetings of the Committee and the Group in
consultation with the Chairperson/Vice Chair
 Any correspondence (Thank you letters, letters requesting donations,
etc)
 Assist with developing Templates to be used in operating the rescue
effectively
d). The duties of the Treasurer are to:
 Supervise the financial affairs of the “Passion for Paws” in
consultation with the Chairperson
 Ensure “3” directors are registered at the Royal Bank (updated as
necessary) to sign cheques
 Keep proper accounts that show all income and expenses

 File Income Tax for ‘nonprofit’ “Passion for Paws” organization
 Complete application for “Passion for Paws” to become a registered
charitable organization
e). The duties of the Fundraising Coordinator/s are to:
 Plan fundraising events to raise money for the rescue
 Involve public members in volunteering at fundraising events
 Network with local businesses to promote and raise money for the
rescue
 Donate any monies earned to the “Passion for Paws” bank account
via the Chair/Treasurer
f). The duties of the Foster Coordinator/s are to:
 Match incoming dogs with suitable foster families
 Ensure foster families have all supplies needed for successful
caregiving
 Support foster families through training and providing info on the
animal’s needs and care plan
 Engage with foster families (ongoing) and promote new foster
families to join
g). The duties of the Social Media Coordinator are to:
 Update and post information on available animals
 Develop and maintain a web page for “Passion for Paws”
 Keep the rescue's social media up to date
 Post new and exciting posts to keep the public engaged
 Brainstorm new ideas and events to help raise money and awareness

h). The duties of the Transportation Coordinator are to:
 Plan and organize animal transports with volunteer drivers
i). The duties of the Scheduler Coordinator are to:
 Schedule shifts at the rescue to ensure coverage (up to four times a
day dependent upon number of rescues in care)
 Set up weekly or monthly schedule and create a method to ensure all
volunteers have access to the updated schedule (facebook group
page specifically for scheduling or Whats App)
 volunteers can contact each other if they are unable to cover any shift
that they had previously signed up for and then ADVISE the

Scheduler of any changes made via switches ASAP, so the schedule
can be updated.
 Devise a method to ensure volunteers have attended all daily shifts
and all duties have been completed to ensure care of the dogs (thus
reducing the chance of shifts being forgotten or missed).
Finance Committee:
 Ensure any money obtained by the rescue shall be used only for
“Passion for Paws”
 Ensure all bank accounts opened for the rescue shall be in the name
of “Passion for Paws”
 Ensure that all cheques issued are signed by the Chairperson and
one of the other two designated signers (two signatures required on
every cheque)
 Ensure that any expense cheques made for over $1,000.00 has a
motion by the Board to approve, prior to the payment being made
 Issue donation receipts to anyone that has requested one
Annual General Meeting:
 The rescue shall hold an Annual General Meeting (A.G.M.) in the
month of September yearly
 The business of the A.G.M. shall include:

(i) Receiving a report from the Chairperson on the rescue’s
activities over the year
(ii) Receiving a report from the Treasurer on the finances of the
Group
(iii) Other matters as necessary


Policy Review:
Any changes to this Constitution must be agreed upon by 50% plus one of
those members present at the meeting.
​This policy will be reviewed annually (first meeting of the new year) to
ensure its continued effectiveness. Any significant incidents or changes in
the risk environment will prompt an immediate review.
Dissolution:
In the event of dissolution of “Passion for Paws”, any assets remaining
shall be used to pay off any outstanding debt of the rescue and then any
amount remaining be donated to a ‘nonprofit’ organization as determined
by a majority vote of the committee.
